Business Letter of Intent Template

A business letter of intent template is a formal document where two or more parties express their intention to do business with each other. However, this letter does not impose any legal binding on them to follow this intention. Basically, it is used to secure the trust of all parties who are looking for mutual benefits in business. Apart from its basic use, it is often included in many agreements. For instance, a joint venture agreement, merchant agreement or real property lease agreement. Moreover, the involved parties in this letter outline the conditions and terms that they can follow if any transaction happens between them. To facilitate them, they can also include certain specific responsibilities which each party needs to follow before signing a contract. You can use the material that’s written below to write a business letter of intent:

Introduction: The first step of writing this letter is that you should introduce the purpose of writing it, and you should mention the names of both the parties involved and what their roles are. You should also write what the reason is for the transaction and what you are buying or selling.

Information related to the transaction and timeframe: In this part you should write more details about the transaction, you should also include what type of business deal it is and add the purchase price, but it is possible that the amount can change in the future. You can write any possible timeframe for the negotiations later on, but it should just be a guideline and could be changed in the future.

Add that the agreement is non-binding: It is also important to add in your letter that this agreement is non-binding for both parties, except for any part that you have stated, is binding.
